    MASTER CONTRIBUTOR PARTICIPATION & SYNDICATION AGREEMENT

    Last Updated: June 2026

    IMPORTANT NOTICE

    This Master Contributor Participation & Syndication Agreement ("Agreement") is a legally binding agreement between Talent Branded Entertainment, Inc. ("Company," "RLN," "Recovered Life," or "RecoveredLife.tv") and the individual, business entity, content creator, coach, practitioner, podcast host, community leader, or other contributor accepting these terms ("Contributor").

    By activating a subscription, creating an account, migrating media content, publishing content through the platform, purchasing a Contributor package, participating in a Room, hosting a podcast, operating a community, or otherwise utilizing RLN services, Contributor agrees to be bound by this Agreement.

    This Agreement serves as the foundational governing agreement for all participation within the Recovered Life Network ecosystem. Additional monetization programs may be governed by separate Addendums incorporated into this Agreement by reference.

    SECTION 1: THE RLN HARBOR MODEL

    1.1 Guiding Philosophy
    The Recovered Life Network operates under a simple principle: Contributors own the boats. Recovered Life owns the harbor.
    Contributors retain ownership of their independent businesses, brands, practices, intellectual property, educational materials, podcasts, media assets, trademarks, and independently created content.
    Talent Branded Entertainment, Inc. owns and operates the Recovered Life platform, infrastructure, technology stack, community systems, production systems, audience ecosystem, directory systems, search engine assets, hosting systems, distribution networks, and monetization infrastructure.
    Nothing contained within this Agreement transfers ownership of Contributor intellectual property to Company unless expressly stated in a separate written agreement.

    1.2 Platform Tenancy
    Company grants Contributor a limited, non-exclusive, revocable right to utilize designated platform features, rooms, community spaces, media distribution systems, and related services in accordance with the terms of this Agreement.
    This right constitutes a license to use the platform and does not create any ownership interest in Company assets, systems, technology, member databases, platform infrastructure, or community properties.

    1.3 Definition of RLN Infrastructure
    For purposes of this Agreement, "RLN Infrastructure" includes, without limitation:

    • Recovered Life websites;
    • RecoveredLife.tv domains and subdomains;
    • Community platforms;
    • Groups;
    • Rooms;
    • Member directories;
    • Member databases;
    • Messaging systems;
    • Community feeds;
    • Event systems;
    • Livestream systems;
    • Replay systems;
    • Network-owned podcast infrastructure;
    • Hosting systems;
    • Technology platforms;
    • Advertising systems;
    • Distribution systems;
    • Network-controlled communication channels; and
    • Any other platform asset owned, licensed, operated, or controlled by RLN.

    RLN Infrastructure does not include a Contributor's independently owned website, personal domain, social media profiles, email lists, professional practice, business operations, products, services, or intellectual property.

    Content Creators may not utilize RLN infrastructure to promote or sell external products, services, courses, memberships, or commercial programs except as expressly authorized by Company.

    2.3 Provider (Tier 3)

    Providers receive all rights available to Content Creators and may additionally:

    • Promote approved professional services
    • Utilize approved external links

    3.1 Content Ownership
    Contributor retains ownership of all independently created:

    • Videos
    • Articles
    • Graphics
    • Educational materials

    Company claims no ownership interest in Contributor intellectual property except as expressly established through a separate written Joint Venture Agreement.

    3.2 Content Ownership Warranty
    Contributor represents and warrants that they own or control all rights necessary to publish, distribute, display, license, and syndicate all submitted content. Contributor further represents that submitted content does not knowingly infringe upon the intellectual property rights of any third party.

    3.3 Syndication License
    Contributor grants Company a non-exclusive, worldwide, royalty-free license to host, publish, distribute, stream, archive, index, promote, syndicate, and otherwise make Contributor content available through:

    • Podcast directories
    • Streaming platforms
    • Social media channels

    This license continues during active participation and survives termination with respect to content previously published during the Contributor's participation period.

    SECTION 4: RECORDING, EDITING & PROMOTIONAL RIGHTS

    4.1 Recording Rights
    Contributor grants Company the right to record, capture, archive, reproduce, publish, distribute, and display Contributor participation within the RLN ecosystem. This includes, but is not limited to:

    • Community discussions, workshops, and events
    • Educational programs, video content, and audio content
    • Promotional appearances

    4.2 Editing Rights

    4.3 Promotional Rights
    Company may create promotional clips, highlight reels, social media posts, video excerpts, graphics, email promotions, trailers, and marketing materials using content created during Contributor participation in the network.

    4.4 Survival
    The rights granted under this Section survive termination with respect to content created, recorded, or published during Contributor's active participation period.

    SECTION 5: COMMUNITY STANDARDS & CONTENT POLICIES

    5.1 Prohibited Content
    Contributor shall not publish, promote, distribute, or facilitate content that:

    • Violates applicable law or infringes intellectual property rights

    • Promotes illegal drug activity, fraud, or deceptive practices
    • Contains unlawful pornography or sexually explicit material

    • Creates material legal exposure for the Company

    5.2 Medical & Clinical Disclaimer
    Unless expressly authorized through an approved Provider relationship, Contributor shall not represent content published through RLN as medical advice, clinical treatment, psychological treatment, professional diagnosis, or healthcare services. All content is intended for educational, informational, and community purposes only.

    5.3 Administrative Review Rights
    Company reserves the right to review, suspend, remove, restrict, unpublish, or refuse content that violates this Agreement, creates legal risk, creates community safety concerns, damages the reputation of the network, or conflicts with platform policies. Company may take such action in its reasonable business discretion.

    SECTION 6: PROVIDER RULES & HIPAA SEPARATION

    6.1 Educational Platform Status
    Recovered Life Network operates as a media platform, educational platform, community platform, and content distribution network. RLN is not a healthcare provider, treatment facility, medical practice, counseling center, therapy platform, or electronic health record provider.

    6.1.1 Peer Support Community Acknowledgment
    Contributor acknowledges that RLN operates as a peer-support, educational, media, and community platform. Participation within RLN communities, rooms, events, discussions, livestreams, messaging systems, and content experiences is intended for peer support, education, discussion, advocacy, and community engagement purposes only. Neither participation in RLN nor interaction with Contributors, Providers, moderators, hosts, guests, community leaders, or members shall create a therapist-patient relationship, provider-patient relationship, counselor-client relationship, treatment relationship, healthcare relationship, or other professional services relationship. Users remain solely responsible for determining whether professional healthcare, counseling, therapy, crisis intervention, or other professional services are appropriate for their circumstances.

    6.2 Provider Responsibilities
    Providers remain solely responsible for licensing compliance, professional standards, clinical obligations, regulatory compliance, insurance requirements, and client communications.

    6.3 External Service Delivery
    All professional services, including but not limited to therapy, counseling, coaching, treatment services, and clinical consultations, must be delivered entirely outside RLN infrastructure using Provider-controlled systems. Examples include independent EHR systems, HIPAA-compliant scheduling platforms, secure intake systems, and independent payment processors.

    6.4 HIPAA Isolation Wall
    RLN is not designed to receive, store, process, or transmit Protected Health Information (PHI). Providers agree that all patient, client, medical, clinical, treatment, and healthcare information shall remain entirely outside RLN systems.

    6.4.1 User Responsibility Regarding Health Information
    RLN is a community, educational, media, and content platform and is not intended for the transmission, storage, processing, management, or exchange of Protected Health Information ("PHI"), medical records, treatment records, clinical records, or other regulated healthcare information. Contributors, Providers, and users are expressly instructed not to submit, upload, transmit, store, message, publish, post, or communicate Protected Health Information through RLN Infrastructure. Any individual who voluntarily discloses personal health information through RLN does so at their own discretion and risk. RLN does not review, monitor, verify, collect, maintain, or manage health information for treatment, healthcare operations, payment processing, diagnosis, counseling, therapy, or clinical purposes.

    6.4.2 No Business Associate Relationship
    RLN does not act as a Business Associate, healthcare provider, treatment provider, covered entity, electronic health record provider, telehealth provider, medical records processor, or healthcare operations vendor. No Contributor, Provider, user, client, patient, therapist, coach, counselor, treatment provider, or healthcare organization shall utilize RLN Infrastructure for the exchange, storage, transmission, management, or processing of Protected Health Information. Providers remain solely responsible for utilizing appropriate HIPAA-compliant systems where required by applicable law.

    6.5 Provider Promotional Rights
    Approved Providers may maintain professional profiles, display approved external links, promote professional services, utilize scheduling links, and direct prospective clients to Provider-controlled systems. All services must ultimately be transacted outside RLN infrastructure.

    6.6 Provider Liability
    Provider assumes sole responsibility for all professional services delivered through their independent business. Company shall not be liable for professional malpractice claims, licensing disputes, clinical complaints, regulatory investigations, treatment outcomes, or client disputes arising from Provider activities. Provider agrees to defend, indemnify, and hold harmless Company from such claims.

    SECTION 7: COMMUNITY MONETIZATION, PREMIUM LEARNING ASSETS & HARBOR PROTECTION

    7.1 The Non-Bypass Principle
    Contributor acknowledges that Company invests substantial resources to build, maintain, and promote the Recovered Life Network audience ecosystem, community infrastructure, technology stack, content distribution systems, directory systems, production resources, and visibility channels.
    Accordingly, Contributor agrees not to utilize RLN infrastructure, community visibility, audience access, member databases, messaging systems, podcast properties, directory listings, rooms, events, livestreams, or other platform resources to circumvent RLN monetization programs or divert network-generated opportunities into unauthorized commercial arrangements.

    7.2 Premium Learning Assets
    The following categories are collectively referred to as "Premium Learning Assets": Courses, Cohorts, Masterminds, Membership programs, Workshops, Educational programs, Certification programs, Accountability programs, Premium support communities, Educational challenges, and Subscription-based learning experiences. The Company reserves the right to determine whether a specific offering falls within a Premium Learning Asset category.

    7.3 Monetization Through RLN
    Content Creators and Providers may participate in approved monetization programs governed by the applicable Community Monetization Addendum. No Premium Learning Asset may be monetized through RLN infrastructure unless approved by Company and governed by the applicable monetization framework.

    7.4 Independent Activities Outside RLN
    Nothing in this Agreement prevents Contributor from independently operating a business, website, social media presence, podcast, practice, or brand outside RLN. However, Contributor may not utilize RLN infrastructure, visibility systems, audience channels, member access, community spaces, messaging systems, livestream tools, or platform assets to market, promote, enroll, sell, or distribute Premium Learning Assets outside approved RLN monetization programs.

    7.4.1 Independent Business Activities
    Nothing in this Agreement restricts Contributor from independently owning, operating, promoting, or monetizing their personal business, professional practice, website, podcast, social media channels, email lists, products, services, courses, memberships, educational programs, coaching services, consulting services, books, speaking engagements, or other independent business activities conducted outside RLN Infrastructure.
    RLN does not claim ownership of Contributor's independently developed business relationships, customers, clients, subscribers, followers, website visitors, social media audiences, email subscribers, products, services, or intellectual property. The restrictions contained within this Section apply solely to the use of RLN-owned infrastructure, platform resources, member access, community spaces, messaging systems, events, rooms, directories, and other network assets.

    7.5 Future Protected Categories
    As RLN expands, Company may develop additional educational, certification, training, membership, community, or professional development programs. Such future categories shall be afforded the same protection as Premium Learning Assets under this Agreement.

    SECTION 8: MERCHANDISE & COMMERCIAL PROMOTIONS

    8.1 Permitted Creator Merchandise
    Content Creators and Providers may promote and sell limited physical merchandise associated with their personal brand, podcast, community, or show. Examples include T-shirts, hoodies, hats, mugs, stickers, journals, printed books, and branded promotional merchandise.

    8.2 Merchandise Limitations
    Permitted merchandise shall be limited to physical brand-support products. Contributor may not utilize merchandise permissions to promote healthcare products, supplements, medical products, consumer packaged goods, commercial products that compete with RLN advertisers, affiliate products, or third-party commercial products without prior written approval from Company.

    8.3 Promotional Visibility
    The ability to promote merchandise remains subject to the permissions associated with Contributor's subscription tier and platform privileges.

    SECTION 9: THIRD-PARTY PRODUCTS, AFFILIATES & SPONSORSHIPS

    9.1 Third-Party Commercial Offers
    Third-Party Commercial Offers include affiliate programs, referral programs, sponsored products, insurance products, financial products, software products, commercial services, corporate sponsorships, and external advertising campaigns.

    9.2 General Restriction
    Contributors may not independently advertise, distribute, promote, or market Third-Party Commercial Offers through RLN infrastructure without Company approval.

    9.3 Network-Controlled Advertising
    Company reserves the exclusive right to establish advertising standards, sponsorship programs, affiliate relationships, referral programs, and network advertising initiatives.

    9.4 Approved Opportunities
    Company may periodically authorize Contributors to participate in approved affiliate programs, sponsorship opportunities, referral campaigns, or network-wide commercial initiatives. Participation in such programs shall remain subject to separate written terms where applicable.

    SECTION 10: JOINT VENTURE OPPORTUNITIES

    10.1 Separate Agreements Required
    From time to time, Company and Contributor may elect to jointly develop, produce, market, license, monetize, or commercialize specific products, services, events, educational programs, certifications, memberships, communities, courses, masterminds, or business opportunities. Any such opportunity shall be governed exclusively by a separate written Joint Venture Rider or Commercial Agreement executed by both parties.

    10.2 No Implied Joint Venture
    Nothing contained within this Agreement creates joint ownership, partnership, joint venture, revenue-sharing rights, or co-development rights unless expressly established through a separate written agreement executed by both parties.

    10.3 Ownership Presumption
    Absent a separate written Joint Venture Rider, Contributor retains ownership of Contributor-created intellectual property and Company retains ownership of Company-owned platform assets, systems, infrastructure, and network properties.

    SECTION 11: ARCHIVES, TERMINATION & PLATFORM CONTINUITY

    11.1 No Guarantee of Continued Participation
    Participation within RLN is a privilege and not a right. Company reserves the right to suspend, restrict, terminate, or discontinue Contributor participation for violations of this Agreement, legal compliance concerns, community safety concerns, non-payment, or conduct that materially harms the network.

    11.2 Termination Without Cause
    Either party may terminate participation upon thirty (30) days written notice to the other party.

    11.3 Immediate Termination For Cause
    Company may immediately suspend or terminate Contributor participation without advance notice if Contributor:

    • Materially breaches this Agreement;
    • Violates community standards;
    • Creates significant legal exposure;
    • Engages in fraud or deceptive conduct;
    • Loses required professional licenses or misrepresents professional credentials;
    • Fails to maintain required insurance where applicable; or
    • Violates applicable laws or regulations.

    11.4 Platform Offboarding
    Upon termination, Company may remove Contributor profile pages, remove active directory placements, remove promotional positioning, disable platform access, remove community administration privileges, and remove active subscription benefits.

    11.5 Archival Retention Rights
    Contributor grants Company a perpetual, irrevocable, non-exclusive license to maintain, archive, distribute, display, and preserve content created during Contributor participation. This includes podcasts, interviews, livestream recordings, articles, videos, promotional materials, social media clips, community posts, and historical media assets. Such content may remain accessible within RLN archives, media libraries, historical catalogs, syndicated distribution channels, and network properties.

    11.5.1 Ownership and Archival Rights Clarification
    Contributor retains ownership of all Contributor-owned intellectual property. However, Contributor acknowledges that participation in the RLN ecosystem includes the grant of ongoing archival, historical distribution, promotional, and syndication rights for content created, recorded, published, or distributed during participation in the network. Accordingly, while Contributor retains ownership of the underlying intellectual property, Contributor does not possess the right to require RLN to remove, discontinue, destroy, or cease distribution of historical content lawfully created, published, recorded, promoted, or distributed during the Contributor's participation period, except as otherwise required by applicable law or a separate written agreement. The parties acknowledge that ownership of intellectual property and the grant of archival distribution rights are separate legal concepts and are intended to coexist under this Agreement.

    11.6 Inactivity, Abandonment, Death & Incapacity
    If Contributor becomes inactive, abandons the platform, dissolves their business, becomes incapacitated, passes away, fails to maintain an active subscription, or is removed for breach, RLN may manage, archive, discontinue, remove, redirect, merge, repurpose, reassign, or otherwise administer RLN-owned platform assets as reasonably necessary to maintain network continuity.
    For the avoidance of doubt, Contributor-owned intellectual property shall remain the property of Contributor or Contributor's lawful estate, successors, or assigns. However, no ownership interest shall exist in RLN-owned infrastructure, including without limitation:

    • Recovered Life domains and subdomains;
    • Community locations;
    • Room assignments;
    • Directory placements;
    • Member databases;
    • Network URLs;
    • Distribution systems;
    • Platform pages;
    • Audience development assets; and
    • Network infrastructure.

    RLN shall have no obligation to transfer control of RLN-owned infrastructure to Contributor's estate, heirs, beneficiaries, representatives, successors, or assigns. Nothing in this Section limits RLN's archival, syndication, promotional, or historical content rights granted elsewhere in this Agreement.

    SECTION 12: DISCLAIMERS & LIMITATION OF LIABILITY

    12.1 No Guarantee of Results
    Company provides access to technology, production resources, community infrastructure, visibility opportunities, distribution systems, promotional support, sponsorship opportunities, and networking resources. Company makes no guarantees regarding audience growth, revenue generation, sponsorship acquisition, client acquisition, community growth, search rankings, downloads, subscribers, business success, professional success, or lead generation.

    12.2 Platform Provided As-Is
    The RLN platform, software, services, technology, tools, content distribution systems, and community infrastructure are provided on an "as-is" and "as-available" basis. Company disclaims all warranties to the fullest extent permitted by law.

    12.3 Limitation of Liability
    To the fullest extent permitted by law, Company's aggregate liability arising out of or relating to this Agreement shall not exceed the total subscription fees paid by Contributor during the twelve (12) months immediately preceding the event giving rise to the claim.
    In no event shall Company be liable for lost profits, lost business opportunities, lost data, lost goodwill, or any indirect, consequential, special, or incidental damages.

    SECTION 13: FORCE MAJEURE & THIRD-PARTY SERVICES

    13.1 Third-Party Platforms
    Company relies upon third-party technology providers including hosting providers, podcast directories, social media platforms, payment processors, software vendors, internet providers, email providers, and analytics systems. Company shall not be liable for interruptions, outages, algorithm changes, de-platforming actions, service failures, suspensions, or disruptions caused by third-party providers.

    13.2 Force Majeure
    Company shall not be liable for delays, interruptions, failures, or inability to perform arising from circumstances beyond its reasonable control including natural disasters, government actions, internet outages, labor disputes, cybersecurity incidents, war, terrorism, or public emergencies.

    SECTION 14: GENERAL LEGAL PROVISIONS

    14.1 Independent Relationship
    Nothing contained in this Agreement creates an employment, partnership, joint venture, agency, fiduciary, or franchise relationship between Company and Contributor unless expressly established through a separate written agreement.

    14.2 Assignment & Successors
    Company may assign, transfer, sell, merge, reorganize, finance, or otherwise transfer this Agreement and its associated rights and obligations in connection with asset sales, mergers, acquisitions, corporate restructurings, or financing transactions. Contributor may not assign this Agreement without Company consent.

    14.3 Platform Evolution
    Company may modify, redesign, replace, discontinue, remove, or enhance platform features, subscription benefits, software functionality, monetization programs, community features, or technology systems at any time.

    14.3.1 Good Faith Platform Administration
    While Company reserves the rights described in this Agreement regarding platform operations, feature modifications, program changes, monetization initiatives, content standards, and technology evolution, Company shall exercise such rights in good faith and in a manner reasonably intended to support the operation, integrity, safety, sustainability, and continued development of the RLN ecosystem. Nothing in this Agreement shall obligate Company to maintain any specific feature, monetization program, technology platform, advertising program, distribution channel, community service, creator program, or business initiative for any particular period of time.

    14.4 Severability
    If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

    14.5 Governing Law
    This Agreement shall be governed by the laws of the State of California. The exclusive venue for disputes arising under this Agreement shall be Los Angeles County, California.

    14.6 Entire Agreement
    This Agreement, together with all incorporated Addendums, constitutes the complete agreement between the parties and supersedes all prior discussions, proposals, presentations, emails, and understandings.

    SECTION 15: ADDENDUM ACTIVATION

    The following Addendums are incorporated into this Agreement by reference:

    • Podcast Monetization & Revenue Addendum
    • Community Monetization & Revenue Addendum

    Contributor accepts all incorporated Addendums upon acceptance of this Agreement. However, each Addendum becomes operative only when Contributor elects to participate in the corresponding program, feature, service, or monetization framework.

    CONTRIBUTOR ACCEPTANCE

    By creating an account, activating a subscription, publishing content, participating in the network, migrating media assets, operating a room, launching a podcast, activating community features, or otherwise utilizing RLN services, Contributor acknowledges that they have read, understood, and agreed to be bound by this Master Contributor Participation & Syndication Agreement.

    THE RLN HARBOR MODEL

    Contributors own the boats.
    Recovered Life owns the harbor.

    Contributors retain ownership of their businesses, brands, intellectual property, practices, and independently created content. Talent Branded Entertainment, Inc. owns and operates the platform infrastructure, audience ecosystem, production systems, distribution network, community framework, technology stack, and monetization rails that support the network.

    PODCAST MONETIZATION & REVENUE ADDENDUM

    Last Updated: June 2026

    1. PURPOSE

    This Podcast Monetization & Revenue Addendum ("Addendum") supplements and is incorporated into the Recovered Life Network Master Contributor Participation & Syndication Agreement ("Master Agreement").

    This Addendum becomes active only when a Contributor hosts a podcast through RLN, migrates an RSS feed into RLN, participates in podcast monetization, receives sponsorship revenue through RLN, or participates in RLN podcast advertising programs.

    All ownership rights, syndication rights, archive rights, recording rights, promotional rights, and platform rules remain governed by the Master Agreement.

    2. PODCAST OWNERSHIP

    Contributor retains ownership of their independently created podcast, show name, artwork, trademarks, logos, creative content, and intellectual property. Nothing contained in this Addendum transfers ownership of the podcast to RLN. Contributor grants RLN the rights necessary to host, distribute, promote, syndicate, archive, and monetize the podcast pursuant to the Master Agreement.

    3. NETWORK DISTRIBUTION

    RLN may host podcast content, manage RSS feeds, syndicate content, distribute content, promote podcast episodes, archive historical content, utilize clips and excerpts, and publish content through current and future distribution channels. Podcasts participating in RLN may be distributed through Apple Podcasts, Spotify, YouTube, Amazon Music, podcast directories, streaming platforms, RecoveredLife.tv, and future distribution partners.

    4. NETWORK ADVERTISING

    RLN shall serve as the exclusive administrator of podcast sponsorship sales, network advertising inventory, and monetization programs operating through the RLN podcast network. Advertising inventory may include host-read advertisements, dynamic ad insertion, sponsorship placements, network advertisements, cross-promotions, and internal network promotions. RLN retains sole discretion regarding advertising inventory administration.

    5. ADVERTISING INVENTORY

    Each podcast episode may contain a maximum of three (3) advertising positions. Advertising positions may include pre-roll, mid-roll, and post-roll. RLN reserves the right to determine placement strategy and inventory utilization.

    6. SPONSORSHIP REVENUE & NETWORK MONETIZATION

    All sponsorship revenue generated through RLN podcast infrastructure shall be administered through RLN. Contributors may not independently sell, broker, assign, transfer, or monetize podcast advertising inventory distributed through RLN infrastructure without Company approval. All sponsorship revenue shall be processed through RLN and distributed in accordance with this Addendum.

    7. ORIGINATION COMMISSION & REVENUE SHARING

    7.1 Host-Originated Sponsors

    If a Contributor introduces a sponsor that ultimately enters into a paid sponsorship arrangement with RLN, the Contributor shall receive an Origination Commission equal to ten percent (10%) of the gross sponsorship amount. The Origination Commission shall be paid first. The remaining sponsorship revenue shall then enter the Network Revenue Share program.

    Example:
    Sponsorship Amount: $10,000
    Origination Commission (10%): $1,000
    Remaining Revenue: $9,000 (Network Revenue Share Applied to Remaining Revenue)

    7.2 Revenue Distribution

    Following payment of any applicable Origination Commission, the remaining sponsorship revenue shall be distributed as follows:

    • Fifty Percent (50%) to RLN.
    • Fifty Percent (50%) to the participating podcast associated with the sponsored advertising inventory.

    For sponsorship opportunities sourced directly by RLN, no Origination Commission shall apply, and sponsorship revenue shall be distributed fifty percent (50%) to RLN and fifty percent (50%) to the participating podcast. RLN shall administer all sponsorship billing, collections, reporting, and distributions.

    8. PROVIDER PROMOTIONAL PLACEMENT

    Provider Tier participants may utilize one advertising placement per episode to promote their own professional practice, coaching business, counseling practice, treatment facility, or approved professional services. Provider promotional placements:

    • Count as one of the three available advertising positions;
    • May not be sold or transferred to third parties;
    • May not be used to promote unaffiliated commercial sponsors; and
    • Must comply with all applicable professional, ethical, legal, and licensing requirements.

    This placement is intended solely for promotion of the Provider's own services.

    9. NO INDEPENDENT AD BROKERAGE

    Contributors shall not act as independent advertising brokers within the RLN podcast network. All sponsorship sales, network advertising campaigns, and podcast advertising arrangements utilizing RLN infrastructure shall be administered through RLN. No Contributor may independently sell podcast advertising inventory and retain one hundred percent (100%) of sponsorship revenue while utilizing RLN podcast distribution infrastructure.

    10. PAYMENT PROCEDURES

    Revenue distributions shall occur according to Company payout schedules. Company may establish minimum payout thresholds, maintain reserve accounts, offset refunds, offset chargebacks, and offset fraud adjustments. Contributor remains responsible for all taxes associated with distributions received.

    11. INVALID TRAFFIC & FRAUD

    RLN may exclude from revenue calculations any traffic determined to be fraudulent, artificial, automated, bot-generated, manipulated, incentivized, or invalid. RLN retains sole discretion regarding traffic validation.

    12. ADVERTISER CONTROL & CATEGORIES

    12.1 Advertising Category Restrictions

    RLN retains final authority regarding sponsor approval, advertising inventory, campaign placement, and monetization decisions. Contributors may request exclusion from specific advertising categories that reasonably conflict with:

    • Professional licensing obligations;
    • Ethical obligations;
    • Regulatory requirements;
    • Recovery-focused content standards;
    • Professional reputation concerns; or
    • Brand safety considerations.

    RLN shall review such requests in good faith but retains final discretion regarding campaign administration and inventory allocation. Unless otherwise approved by RLN in writing, exclusion requests shall apply to advertising categories rather than individual advertisers.

    12.2 No Contributor Approval Rights

    Except where expressly provided in a separate written agreement, Contributors do not possess approval rights over individual advertisers, sponsorship arrangements, advertising campaigns, advertising creatives, advertising placements, or network monetization decisions. RLN retains exclusive authority to administer network advertising programs.

    12.3 Restricted Advertising Categories

    RLN may establish prohibited or restricted advertising categories applicable to some or all network properties. Such categories may include, without limitation: alcohol, gambling, adult content, illegal products or services, predatory lending services, deceptive financial products, and other categories determined by RLN to create legal, ethical, regulatory, or reputational concerns. RLN may modify such categories at any time in its reasonable business discretion.

    13. RSS FEED MANAGEMENT

    RLN may host, manage, distribute, and administer podcast RSS feeds participating in RLN podcast services.

    13.1 Podcast Feed Transition

    Upon termination of participation, RLN may, but shall not be obligated to, assist a Contributor with the migration, transfer, or redirection of a podcast RSS feed administered by RLN. Any such assistance shall be voluntary and provided solely as an accommodation to the Contributor.

    Contributor acknowledges that podcast distribution relies upon third-party hosting providers, podcast directories, software platforms, and distribution services beyond RLN's control. Accordingly, RLN makes no representation, warranty, or guarantee regarding:

    1. availability of a 301 redirect;
    2. transfer of subscribers, followers, ratings, reviews, analytics, audience data, or historical statistics;
    3. retention of podcast rankings or directory placement;
    4. uninterrupted distribution;
    5. migration of advertising relationships; or
    6. completion of any migration, transfer, or redirect within a specific timeframe.

    Nothing in this Agreement shall be construed as requiring RLN to provide a feed transfer, feed redirect, hosting export, account transfer, or other migration assistance.

    13.2 Platform Assets, Domains & Network Properties

    All RLN-owned infrastructure shall remain the exclusive property of Company before, during, and after Contributor participation. Contributor receives only a limited, revocable license to utilize such assets while actively participating in the network. Upon termination, suspension, expiration, or discontinuation of participation, Company may remove, disable, archive, redirect, repurpose, reassign, merge, discontinue, or otherwise manage such assets in its sole discretion. Contributor acknowledges that no ownership interest is acquired in any Recovered Life domain, subdomain, URL, directory placement, room, group, community location, network property, audience asset, or platform infrastructure.

    13.3 Podcast Accounts & Distribution Platforms

    Unless otherwise agreed in writing, any podcast hosting account, podcast management account, distribution account, analytics account, advertising account, Apple Podcasts account, Spotify account, YouTube account, or other platform account established, administered, or maintained by RLN as part of network operations shall remain under RLN control. Nothing in this Agreement obligates RLN to transfer ownership or administrative control of any such account upon termination.

    14. TERMINATION OF PODCAST PARTICIPATION

    Upon termination, future monetization rights, advertising placements, sponsorship participation, and revenue participation cease. Previously earned compensation remains payable pursuant to this Addendum. Archive rights, recording rights, syndication rights, promotional rights, and historical distribution rights remain governed by the Master Agreement.

    15. NO GUARANTEE OF REVENUE

    RLN makes no guarantees regarding sponsorship opportunities, advertising sales, podcast growth, downloads, subscribers, revenue generation, or audience growth. Participation in RLN podcast monetization programs does not guarantee financial results.

    16. INCORPORATION OF MASTER AGREEMENT

    This Addendum is incorporated into and governed by the Master Contributor Participation & Syndication Agreement. In the event of a conflict, the order of precedence shall be:

    • Joint Venture Rider (if applicable)
    • Podcast Monetization & Revenue Addendum
    • Master Contributor Participation & Syndication Agreement

    PODCAST PROGRAM ACCEPTANCE

    By participating in RLN podcast hosting, RSS management, sponsorship programs, advertising programs, or podcast monetization initiatives, Contributor acknowledges that they have read, understood, and agreed to be bound by this Podcast Monetization & Revenue Addendum.

    1. PURPOSE

    This Community Monetization & Revenue Addendum ("Addendum") supplements and is incorporated into the Recovered Life Network Master Contributor Participation & Syndication Agreement ("Master Agreement"). This Addendum becomes active only when a Contributor participates in approved community monetization programs within the RLN ecosystem.

    All ownership rights, syndication rights, platform rules, archive rights, recording rights, promotional rights, and community standards remain governed by the Master Agreement.

    2. ELIGIBLE PARTICIPANTS

    2.1 Impact Partners (Tier 1)
    Impact Partners may host discussions, participate in community events, operate free groups, host livestreams, and build community engagement. Impact Partners may not charge membership fees, sell access, operate paid groups, operate paid communities, monetize community participation, or sell subscriptions through RLN.

    2.2 Content Creators (Tier 2)
    Content Creators may participate in approved community monetization programs subject to Company approval and this Addendum.

    2.3 Providers (Tier 3)
    Providers may participate in approved community monetization programs subject to Company approval and this Addendum. Provider participation remains subject to all Provider obligations contained within the Master Agreement.

    3. ELIGIBLE COMMUNITY PROGRAMS

    The following programs may be approved for monetization within the RLN ecosystem: Paid Groups, Membership Communities, Cohort Programs, Mastermind Programs, Workshops, Premium Peer Groups, Accountability Programs, Educational Communities, Community Subscriptions, Educational Challenges, and Member Experiences. Approval of any program remains at the sole discretion of Company.

    4. COMPANY APPROVAL REQUIRED

    No community monetization program may be launched, promoted, sold, enrolled, advertised, or monetized through RLN infrastructure without prior Company approval. Company may approve, deny, suspend, modify, remove, or discontinue any proposed community monetization program in its reasonable business discretion based on community safety, platform compatibility, brand alignment, or legal/operational/revenue considerations.

    5. MERCHANT OF RECORD

    RLN shall serve as the Merchant of Record for approved community monetization programs unless otherwise agreed in writing. Company may collect payments, process subscriptions and renewals, process refunds and chargebacks, manage payment gateways, and distribute revenue. Contributor acknowledges that payment processing does not transfer ownership of Contributor intellectual property to Company.

    5.1 Merchant of Record Clarification
    Company's role as Merchant of Record, payment processor administrator, subscription administrator, platform operator, community host, promotional partner, or revenue distribution administrator shall not create a partnership, joint venture, co-ownership relationship, agency relationship, fiduciary relationship, professional services relationship, or any responsibility for the design, content, instruction, curriculum, advice, recommendations, coaching, consulting, educational materials, or services provided by Contributor.

    Contributor remains solely responsible for all content, instruction, educational materials, coaching activities, consulting activities, professional services, representations, claims, recommendations, and participant outcomes associated with Contributor-operated programs. Company's involvement in payment collection, promotion, administration, customer support, refunds, chargebacks, technology infrastructure, or revenue sharing shall be administrative in nature and shall not constitute participation in the delivery of Contributor's services.

    6. REVENUE SHARING

    Revenue participation shall be established on a case-by-case basis. Revenue allocations, compensation structures, payout formulas, and participation terms shall be governed by program approval documents, community participation agreements, written monetization approvals, or Joint Venture Riders (when applicable). No Contributor possesses an automatic right to any particular revenue allocation.

    7. REFUNDS & CHARGEBACKS

    Company shall maintain final authority regarding refund decisions, subscription disputes, chargebacks, fraud investigations, and payment reversals. Company may reverse distributions, offset future payments, maintain reserve accounts, and suspend distributions pending investigation. No community monetization program may begin accepting registrations, payments, enrollments, subscriptions, or participant commitments until the applicable revenue allocation has been approved and documented in writing by Company.

    9. NO CLINICAL SERVICES

    RLN operates solely as a media platform, community platform, content distribution platform, and educational platform. RLN is not a healthcare provider, treatment provider, therapy provider, counseling provider, or clinical services provider. No community, group, cohort, workshop, mastermind, membership, Premium Peer Group, accountability program, or educational experience hosted through RLN shall constitute therapy, counseling, clinical treatment, medical care, psychological treatment, professional diagnosis, or healthcare services.

    10. ABSOLUTE OFF-PLATFORM PROFESSIONAL SERVICES REQUIREMENT

    Any professional service delivered by a Provider, including therapy, counseling, coaching, treatment services, clinical consultations, and professional healthcare services, must be delivered entirely outside RLN infrastructure.

    All scheduling, intake, treatment, client communications, billing, records management, healthcare delivery, and professional services shall occur through Provider-controlled systems independent of RLN (such as EHR systems, HIPAA-compliant platforms, secure scheduling systems, and independent payment processors). RLN shall have no involvement in the delivery of professional services.

    11. COMMUNITY RECORDINGS & REPLAYS

    Company may record, archive, host, distribute, and provide replay access to approved community content created during active participation. Contributor retains ownership of underlying intellectual property. Company retains ownership of platform infrastructure, hosting systems, community architecture, replay systems, and distribution systems.

    12. COMMUNITY CLOSURE

    If a Contributor leaves RLN, becomes inactive, fails to maintain payment obligations, is removed for breach, or discontinues participation, Company may close communities, archive communities, remove member access, preserve historical records, preserve replay assets, and discontinue monetization. Archive rights remain governed by the Master Agreement.

    13. NO GUARANTEE OF RESULTS

    Company makes no guarantees regarding membership growth, revenue generation, community participation, lead generation, business outcomes, subscriber growth, or educational outcomes. Participation in community monetization programs does not guarantee financial success.
